Are you sitting down? Good. We're going to tell you something that might blow your mind. We LOVE San Diego! Controversial? Hardly.

One of the best parts about getting connected in this city is following along when coyotes build something cool. Especially when itโ€™s just for the fun of it. What we tinker with can really show who we are and help us build even stronger connections.

In fact, thatโ€™s one of my new favorite networking questions: Whatโ€™s something you built simply because itโ€™s cool? It could be anything: Lego Death Star, a random app, a car seat seatbelt installation tool, anything.

Hussein, creator of the North County Startup Mixer (happening next week), did just that. He built a platform called Startup Beach to host events. Itโ€™s not because thereโ€™s a shortage of event management platforms, but maybe there were some important features missing.

Weโ€™re testing it out this week with Coyote Coffee 3. Weโ€™re so fired up to use a homegrown product and to support a SD founder. Itโ€™s almost impossible to hold in theโ€ฆ โ€œHOWL YEEAAAH!!โ€

Sorry about that, it just kinda came out.

Tyler Hastings

Tyler spun out of big law to start his own firm and focus on early-stage startups, which are often priced out of the big law market. We can respect that!

Hereโ€™s a random fact, we both went to the University of Vermont but never met each other. Funny because the entire school would fit into Petco Park 4x times.

I was asking him over coyote coffee about legal issues early stage founders face and the SAFE agreements came up. The branding gives an aura of security and simplicity, but thatโ€™s not always the case.

He told me that YC created the SAFE in 2013 as a standard agreement, then put out a new more investor friendly version in 2018. Though this agreement is still standard, investors can ask for side letters with additional provisions, which are not always standard.

Hereโ€™s another thing, dilution. Itโ€™s often overlooked and it can impact the founders ownership later on in the journey and ultimately their control of the company.

Weโ€™re now approaching territory outside of this coyote's comfort zone. But Tyler is going much deeper in a weekly series called โ€œCracking the SAFEโ€ that heโ€™s posting on linkedin here. Dig the name.
